Terms of Service

1. Acceptance of Terms
By creating an account, subscribing to a paid plan, or otherwise using HelmFi (the “Service”), you agree to be bound by these Terms of Service. HelmFi is operated by HelmFi Inc., a Delaware corporation (“HelmFi,” “we,” or “us”). If you do not agree to these Terms, do not use the Service.
2. What HelmFi Is — and Is Not
HelmFi is a software-as-a-service platform that enables you to run automated cryptocurrency trading bots on your own exchange accounts. The Service offers pre-built, rules-based strategy presets designed and operated by HelmFi (such as the Helm Index). You decide whether to enable a strategy, which preset to run, in which mode (paper or live), and with how much capital — and you may pause or disconnect it at any time. Once enabled, the Service executes that preset's pre-committed, non-discretionary rules mechanically on the exchange to which you have connected via API keys. HelmFi does not exercise trade-by-trade discretion over your account and does not tailor strategies to your individual circumstances.
HelmFi is not:
- a broker, dealer, or cryptocurrency exchange;
- a custodian of your cryptocurrency or fiat funds;
- a financial advisor, investment adviser, or fiduciary;
- a money transmitter or money services business.
We do not have access to your exchange account login or your funds. API keys you provide are restricted to trade-and-read permissions and cannot withdraw funds. All trading decisions are made mechanically by the strategy preset and risk gates in effect for your account — never by a human exercising discretion over it.
3. Not Financial Advice
HelmFi does not provide personal investment, legal, or tax advice. Nothing on the Service — including dashboards, regime classifications, strategy presets, backtests, or AI chat responses — constitutes investment advice, a recommendation, a solicitation, or an offer to buy or sell any financial instrument or cryptocurrency.
Past performance and backtested results are not indicative of future results. Cryptocurrency trading carries substantial risk of loss, including the risk of total loss of capital. You are solely responsible for any decision to enable live trading.
4. Account & Eligibility
You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials. Notify us immediately of any unauthorized access.
You must not use HelmFi if doing so would violate any law in your jurisdiction, including laws governing securities, derivatives, commodities, or money transmission. You are solely responsible for compliance with local law.
5. Subscription Plans, Billing, and Renewal
Paid plans are billed in advance — monthly, or annually where an annual price is offered — through Stripe, Inc. or its affiliates, our payment processor. Subscriptions automatically renew at the end of each billing period (monthly plans renew monthly; annual plans renew annually) at the then-current rate, unless canceled before the renewal date. You can manage or cancel your subscription at any time via the customer portal accessible from your account settings.

See our Refund Policy for full details. In summary: we offer a 14-day refund window from the date of first payment on a new subscription. After the 14-day window, subscriptions are non-refundable for the current billing period but may be canceled to prevent further charges.
7. API Keys & Connected Exchange Accounts
To run a bot on a live exchange account, you must provide HelmFi with API keys for a third-party exchange you control. You represent that:
- You are the lawful holder of the connected exchange account.
- The API keys are scoped to trade-and-read permissions only — never withdrawal. HelmFi enforces this scope where the exchange allows it.
- You are responsible for monitoring activity on your connected account and rotating or revoking the API key at any time.
API credentials are encrypted at rest with a per-server master secret. HelmFi does not see, request, or store your exchange account password or any seed phrases.
8. Acceptable Use
You agree not to:
- Use the Service to violate any applicable law or regulation, including market manipulation, fraud, or money laundering;
- Submit malicious code, exploit vulnerabilities, or otherwise interfere with the Service’s integrity;
- Resell, sublicense, or commercially redistribute the Service or its outputs without our written permission;
- Run strategies on exchange accounts you do not lawfully control.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. HELMFI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PROFITABLE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HELMFI’S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES.
11. Termination
You may close your account at any time. We may suspend or terminate your account if you breach these Terms, if continued service creates legal or operational risk, or if you fail to pay amounts owed.
12. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware, United States (the jurisdiction of incorporation of HelmFi Inc.), without regard to its conflict-of-laws principles.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via email or in-app notice at least 14 days before taking effect.
